Terms of Service

These terms govern the work Tiny Blue Factory does for you. They apply together with any proposal or written scope we agree for a specific engagement.

The agreement between us

These terms apply between you (the client) and Tiny Blue Factory (the provider) for any work we are engaged to do. The terms, together with any proposal or written scope we agree, form the whole agreement for that work.

Proposals and scope

A proposal or written scope we provide for a piece of work forms part of the agreement between us. Where the proposal and these terms differ, the proposal applies for the specifics of that engagement and these terms apply for everything else.

Pricing and GST

We work on fixed-fee pricing. The price in your proposal is the amount you pay for the agreed scope, and unless we state otherwise, all prices are in Australian dollars and exclude GST.

Payment terms and milestones

Payment terms and any milestones are set out in your proposal. Unless we agree otherwise, payment is due as set out there. If a milestone is reached and the work is not in dispute, payment is due on the date shown.

Variations

If you ask for work that is outside the agreed scope, we will quote that work and seek your written approval before we do it. Work outside the scope is never added to an invoice afterwards. This keeps pricing honest and predictable for both of us.

Intellectual property

On final payment, you own the deliverables we build for you outright. That means the workflows, automations, websites and code we create specifically for your engagement are yours to keep, change and run as you wish.

We retain ownership of the pre-existing tools, templates and methods we developed before your engagement and that we draw on to do the work. We grant you a perpetual licence to use those tools and templates as part of the deliverables, so you are not locked out of running what we have built for you.

Third-party platform costs

Any third-party platform costs — for software subscriptions, hosting, email, a CRM or other tools your solution depends on — are your own. We will be clear about what your solution relies on, and you are responsible for those accounts and their fees.

Confidentiality

We treat information you share with us about your business as confidential and use it only to deliver the work. You agree to do the same for anything we share with you about how our tools and methods work.

Warranties

We carry out our work with reasonable care and skill. Nothing in these terms excludes, restricts or modifies any right you have under the Australian Consumer Law that cannot be excluded. Where a non-excludable right applies, our liability is limited to the extent permitted by law.

Limitation of liability

To the extent permitted by law, our liability for any engagement is limited to the amount paid to us for that engagement. We are not liable for indirect or consequential loss, including lost profits, lost revenue or business interruption, except where the law does not allow that exclusion.

Termination

Either party can end an engagement by giving written notice. If an engagement ends before completion, you pay for work completed up to the date of termination, and we hand over what has been done so far in a usable form.

Governing law

These terms are governed by the laws of Queensland, Australia. We both submit to the courts of Queensland for any dispute arising out of or in connection with these terms.
